Terms of Service

1. Terms

These Terms of Service (“Terms”) govern your access to, and use of, the Quelo platform, including the website at quelo.com.au, the web application and all related services (collectively, the “Service”), operated by:

Please read these Terms carefully before accessing or using the Service. By creating an account or using the Service, you agree to:

2. Account

2.1 Account Registration. By registering an account for you and your Children, you confirm that:

2.3 One Account Per Family. You may only create one account for you and your Children. Family plans allow up to three Children per account. Accounts must not be shared between unrelated households.

3. Service

3.1 What the Service Does. The Service is an AI-powered tutoring service for Australian secondary school students in Years 7 to 12.

The Service uses artificial intelligence to deliver personalised, Socratic-style tutoring sessions in Maths and English, aligned to Australian Curriculum.

We strongly recommend that Children verify important concepts with their classroom teacher and use the Service as a supplement to, not a replacement for, formal schooling.

3.3 Availability. While we aim to make the Service available 24 hours a day, 7 days a week, we do not guarantee uninterrupted availability.

We may also suspend or modify the Service at any time for maintenance, updates or operational reasons. We will endeavour to provide reasonable notice of planned outages where possible.

We will not have any liability to you if the Service is unavailable to you or your Children, including due to downtime attributable to malfunctions, upgrades, preventative or remedial maintenance activities, interruption in telecommunications supply or otherwise.

3.4 International Use. We make no representation or warranty that any services, information or content accessible through the Service is appropriate or available for use in locations outside Australia.

If you choose to access the Service from other locations, you do so at your own risk and are responsible for compliance with all applicable laws. You are not authorised to access the Service from any location where doing so would be illegal.

4. Billing

4.1 Plans and Pricing. The Service is offered on a monthly subscription basis. Current pricing is:

Prices are in Australian dollars (AUD). Quelo is not currently registered for GST, so no GST is charged. We reserve the right to change pricing with 30 days’ advance written notice to your registered email address.

4.2 Free Trial. If you are a new subscriber, you will be entitled to access and use the Service for an initial free trial period. The trial end date, and first payment date, for the Service will be displayed during the onboarding process and confirmed in your welcome email.

The trial period is only available once per account and is not available on re-activation of a previously cancelled account.

4.3 Payment. You must provide a valid payment method — either a debit or credit card, or a direct debit from an Australian bank account — as part of the registration process. Where you pay by direct debit, you must ensure that your nominated account has sufficient funds on each billing date.

Monthly subscription fees will be paid in advance on the 15th day of each month, charged to your chosen payment method and processed by our payment provider. Direct debit payments are collected from your Australian bank account using the BECS (Bulk Electronic Clearing System) network. By providing your payment details, you authorise us to charge or debit your chosen payment method on the 15th day of each month.

Your payment details are collected and stored securely by our payment provider and are not stored on our systems. Where you pay by direct debit, you should refer to your bank’s terms regarding any direct debit arrangements.

4.4 Failed Payments. If a payment fails, your account will not be activated or will be suspended until payment is successfully processed by us. We will notify you by email if a payment fails.

4.5 Cancellation and Refunds. You may cancel your subscription at any time via the Parent portal.

If you cancel, the cancellation will take effect on the next billing date (being the 15th day of each month), following which you and your Children will no longer be able to access or use the Service.

Payments already processed by us are non-refundable, except as required by Australian Consumer Law. That means that, if you cancel on or after the 15th day of a month, that month’s payment has already been processed and no refund will be issued.

4.6 Pausing Your Subscription. You may pause your subscription via the Parent portal for a fixed period of one or two billing cycles. There is no limit on the number of times you may pause your subscription — once a pause ends and your subscription resumes, you may schedule a further pause whenever you wish.

A pause takes effect on the next billing date (being the 15th day of the month). Until that date, you and your Children retain access to the Service and the pause is shown as scheduled in the Parent portal. From the date the pause takes effect, your Children will not be able to access or use the Service for the duration of the pause. You will continue to have access to the Parent portal, where you can view your account status and manage or resume your subscription.

No payment is taken while your subscription is paused. Your subscription resumes automatically at the end of the pause period (on the 15th day of the month), and billing recommences from that date at your existing pricing.

Pausing does not extend or refund any payment already processed. If you pause on or after the 15th day of a month, that month’s payment has already been processed and the pause takes effect from the following billing date.

To change or cancel a scheduled pause before it takes effect, please contact us at support@quelo.com.au. Cancelling your subscription (see §4.5) takes precedence over a scheduled or active pause.

4.7 Re-activation. If you cancel and later re-activate your account, your access to, and use of, the Service will be at the then-current pricing.

No free trial period for the Service is available on re-activation of your account.

5. Children’s Safety and Welfare

5.1 Parental Responsibility. You are responsible for supervising your Children’s use of the Service. We recommend that you regularly review session summaries via the Parent portal and discuss use of the Service with your Children.

5.2 Welfare Monitoring. The Service monitors the content of tutoring sessions with the Children for signals that may indicate that the Children are experiencing emotional distress. Where such signals are detected:

Such welfare notices are for information purposes only. We do not guarantee that all distress signals will be detected, and the presence or absence of a welfare notice should not be relied upon as an indicator of a Child’s mental state.

You acknowledge that welfare monitoring is an automated feature within the Service, and does not constitute clinical assessment, diagnosis, counselling, or mental health support. We are not a mental health service. If you are concerned about your Children’s wellbeing, please seek support from a qualified health professional or contact a crisis service.

7. Intellectual Property

All content, software, branding, and technology comprising the Service is owned by, or licensed to us, and is protected by Australian and international intellectual property laws.

Subject to your compliance with these Terms, we grant you and your Children a limited, revocable, non-exclusive, non-transferable licence, with no right to sublicense, to access and use the Service solely for the purpose of receiving the benefit of the Service for your personal non-commercial use.

You must not delete or alter any copyright, trade mark or other proprietary rights notices from the Service.

AI-generated content delivered as part of the Service to your Children during a session is provided for your Children’s personal educational use only and must not be reproduced, published, or distributed without our prior written consent.

Use of the Services beyond the scope of authorised access and use, granted to you and your Children by us, immediately terminates your permission or licence.

You retain ownership of any content you or your Children submit to the Service (such as essay drafts or student notes uploaded for review) (“User Content”).

You agree to be solely responsible for any User Content submitted to the Service, including by your Children. You warrant and represent that any User Content submitted to the Service will not violate these Terms.

You grant us a non-exclusive, royalty-free, irrevocable, transferable (including the right to sub-license) licence to use, process and exploit the User Content, in relation to the provision of the Service.

8. Privacy and Confidentiality

By using the Service, you consent to the collection and use of your, and your Children’s, personal information for the purpose of providing the Service, including as described in our privacy policy at quelo.com.au/privacy.

We take privacy seriously. Please read our privacy policy carefully before accessing or using our Service.

You must not use, or cause the Service to be used, in any manner or for any purpose prohibited by any applicable privacy laws.

You must not, and must ensure that your Children do not, disclose, copy, reproduce or use any confidential information made available through the Service for any purpose other than accessing and using the Service in accordance with these Terms. Confidential information includes any non-public information, materials, data, or content made available on or through the Service that is reasonably regarded as confidential, including business, technical or commercial information. You must take reasonable steps to protect the confidentiality of any such information and must promptly notify us of any unauthorised disclosure or use.

9. Limitation of Liability

You agree not to hold us responsible for any third party content accessible on or through the Service.

To the maximum extent permitted by law, we and our officers, employees, agents and contractors will not be liable for any:

You must immediately notify us of any login credentials which you believe may be lost or compromised, or if you become aware of any unauthorised access or use of your account.

You are fully responsible for all acts and omissions of any person using your account, as if they were your own acts and omissions. You agree that you will not share, disclose, or permit the disclosure of, your or your Children’s log-in credentials, let anyone else access your account or do anything that would risk the security of your account. We will not in any event be liable for any loss, damage, claims, costs or expenses arising out of the use or misuse of your account.

You are responsible for the device you use to access the Service. We will not be liable to you for any misuse, interference, loss, unauthorised access, modification or disclosure of data stored on your device, including personal information and sensitive information (as those terms are defined in the Privacy Act 1988 (Cth)), if your device is hacked, compromised, stolen, lost or otherwise interfered with.

Where the Service contains links to other websites and resources provided by third parties, these links are provided for your information only. Such third party resources, links and websites should not be interpreted as approval or endorsement by us. We have no control over the contents of those websites or resources, and you access third party websites and resources entirely at your own risk and subject to the terms and conditions of use for those websites and resources.

13. Entire Understanding

Except as expressly stated in these Terms, these Terms constitute the entire agreement between you and us, and supersede all prior and contemporaneous agreements, proposals or representations, written or oral, concerning the subject matter of these Terms.

14. Severability

Any provision of these Terms which is invalid or unenforceable is to be read down, if possible, so as to be valid and enforceable, and, if that is not possible, the provision shall be severed to the extent of the invalidity or unenforceability, without affecting the remaining provisions of these Terms.

15. Changes to Terms

We may update these Terms from time to time. Please check the latest Terms regularly to ensure you understand the terms that apply at that time.

If we make material changes to these Terms, we will notify you by email at least 14 days before the changes take effect.

The most recent version of these Terms is always available at quelo.com.au/terms. By continuing to use the Service, you agree to be bound by the most recent Terms.

Should you object to these Terms or any subsequent amendment of these Terms, you must immediately discontinue access and use of the Service.

16. Governing Law and Disputes

These Terms are governed by the laws of New South Wales, Australia. Any dispute arising from these Terms will be subject to the jurisdiction of the courts of New South Wales.

We encourage you to contact us at support@quelo.com.au before commencing any formal dispute process. You may contact us from any email address. To verify your identity for account-related matters, we will ask you to confirm your registered email address. For sensitive matters such as cancellation, billing changes, or credential resets, a confirmation link will be sent to your registered email address before the action is processed.
